Commission approves merger of Cogas and Electrabel Nederland

The European Commission has cleared under the EU Merger Regulation the proposed acquisition of the electricity and gas retail arm of the Dutch company Cogas by Electrabel Nederland.

Electrabel Nederland Beheermaatschappij B.V. ("Electrabel Nederland") is a Dutch subsidiary of the Belgian company Electrabel, which is in turn controlled by the French utility group Suez. Electrabel´s core business consists in the generation of electricity, retail supply of electricity, natural gas and energy products and services, trading of electricity and natural gas and the management of distribution networks for electricity and natural gas.

Centraal Overijsselse Nutsbedrijven N.V. ("Cogas") is a Dutch company active in the generation of electricity, the retail supply of electricity and natural gas, the maintenance and development of electricity and gas distribution networks, the supply of energy advisory services and the exploitation of a TV and radio cable network within the Netherlands. Cogas sells to Electrabel Nederland certain assets and liabilities relating to the retail supply of electricity and natural gas.

The Commission concluded that the parties combined position would not be large enough to significantly impede effective competition in the market. As regards retail supply of natural gas, although Electrabel Nederland holds quite significant market shares in some segments, Cogas is either not present or has a minimal market share in those segments, which precludes competition concerns.
