Eurotunnel announces final results of tender offer

AMF (Autorité des marchés financiers), the French public body responsible for laying down procedural and ethical rules for French financial markets, has published the final results of the exchange tender offer made by Groupe Eurotunnel SA (GET SA) for Eurotunnel PLC/Eurotunnel SA units. In total, 2.368.864.450 units representing 93,04% of the share capital of these two companies have been tendered. As a result, the total number of GET SA warrants to be issued as part of the implementation of the Eurotunnel Safeguard Plan will be 4.307.026.273. The settlement of the offer, along with the debt restructuring and almost all the steps to implement the Eurotunnel Safeguard Plan will occur on 28 June 2007. Nonetheless, given the complexity of the steps necessary to complete the implementation, some may, for purely practical reasons, not be concluded until 29 June 2007.

As a result, GET SA has requested from Euronext, who has accepted, that the initial listing of its shares and warrants, and that of the Notes Redeemable for Shares in GET SA to be issued by its subsidiary EGP, should take place on 2 July 2007. In addition, in accordance with the Safeguard Plan, GET SA will carry out a consolidation of its shares at a ratio of 1:40 by the end of 2007.
